Responsibilities:

  • Providing pan European structuring support for the Europe real assets segment
  • Providing structuring support in the context of funds with Luxembourg presence and holding platforms
  • Monitoring European regulatory and tax changes and impact on structures through Luxembourg
  • Tax and structuring matters pertaining to the Luxembourg AIFM
  • Luxembourg structural tax compliance and maintenance
  • Work with Fund Tax Lead, Deal Teams, Fund Management Teams and Legal Team to determine and implement optimal structuring for each investment
  • Support Deal Teams and Fund Management Teams on investment/divestment execution
  • Assist in engaging with external advisors
  • Monitor structures on a regular basis to ensure continued appropriateness
  • Work in conjunction with Fund Management for Transaction Review and ongoing structural maintenance
  • Tax and VAT compliance coordination and reviews
  • Monitor European regulatory and tax changes
  • Manage the reporting requirements for the Luxembourg entities and work with tax advisors
  • Board mandates on Luxembourg entities in the Europe Real Assets platform
  • Work and support the Management to determine and implement optimal structuring for each investment
  • Assist in engaging with structuring advisors
  • Monitor Luxembourg structures on a regular basis to ensure continued appropriateness
  • Tax and VAT compliance coordination and reviews
  • Participate to the monthly transaction review meetings
  • Oversee corporate tax and VAT matters pertaining to the Luxembourg AIFM
  • Work in conjunction with Portfolio Management Conducting Officer for
  • Luxembourg AIFM on deal related inputs for portfolio management overview
  • Board mandates on Luxembourg entities
  • Support Fund Management, Legal and Tax with respect to the AIFM and Luxembourg regulations

Requirements:

  • Minimum of 5 plus years’ experience in an M&A transactional environment – e.g. in a Big Four or Asset Manager
  • Strong knowledge of the private equity and real assets industries
  • Specific experience in international taxation and AIFMD is required
  • Knowledge of Fund structuring arrangements
  • Degree in Law, Accounting, Business Administration or similar qualification
  • English native or fluent. French, Italian, Spanish or German language skills are a plus
  • Strong organizational skills
  • Excellent communication skills – both verbal and written
  • Ability to work (and maintain stable performance) under pressure
  • High attention to detail
  • Ability to understand the key strategic drivers to complex M&A activities
  • Flexibility and collaborative attitude
  • Strong soft skills required to navigate different stakeholder groups
